About the Role:
This position will be onsite. The General Counsel will serve as the chief legal advisor for our organization, ensuring that all business operations comply with applicable laws and regulations. This is a hands-on role that may include but is not limited to intellectual property rights, contract management, compliance oversight, corporate governance, risk assessment and employment law. The ideal candidate will specialize in trademark, copyright, and patent law and will be responsible for drafting legal documents, maintaining and enforcing intellectual property rights and advising clients on legal issues related to intellectual property matters. Ultimately, the General Counsel will play a crucial role in safeguarding the company's interests and supporting its growth objectives through sound legal strategies.
Responsibilities:
- Prepare and file patent applications, including patent prosecution.
- Provide legal advice on intellectual property matters to clients.
- Prepare and file patent applications and prosecute patent applications before the US Patent and Trademark Office (USPTO).
- Conduct intellectual property due diligence in corporate transactions such as mergers and acquisitions.
- Manage intellectual property disputes, including infringement litigation and opposition proceedings.
- Provide legal advice on the licensing of intellectual property rights.
- Keep up to date with changes in intellectual property law and industry trends.
- Assist in drafting of contracts relating to all sorts, client, vendor, suppliers, intellectual property rights.
- Represent clients in legal disputes relating to intellectual property rights.
- Provide general counsel on other business matters including compliance, contracts and employment law.
- Draft, review, and negotiate contracts and agreements to ensure the company's interests are protected.
- Monitor and ensure compliance with federal, state, and local laws and regulations relevant to the wholesale trade industry.
- Manage litigation and dispute resolution processes, including working with external counsel as needed.
- Develop and implement training programs for employees on legal compliance and ethical standards.
Qualifications:
- Juris Doctor (JD) degree from an accredited law school.
- Active license to practice law in New Jersey or certified in-house Counsel in New Jersey.
- A minimum of 7 years of legal experience, with a focus on patent law.
- Experience with patent prosecution and representing clients in intellectual property disputes
- Experience in the wholesale trade industry or related sectors.
- Excellent knowledge of intellectual property law.
- Previous leadership experience in a corporate legal department or as in-house counsel.
- Familiarity with international trade laws and regulations.
- Employment law experience is a plus, not required.
